ACCEPTANCE OF TERMS
By joining the community and/or utilizing any of our properties or our technology platform, including desktop app, iOS app and other related supporting technologies (“Platform”) in any manner, including but not limited to visiting properties or browsing the Site, you agree to all of the terms and conditions contained herein (“Terms and Conditions”), which also incorporate all other operating rules, policies and procedures that may be published from time to time on the Site by Lindenhaus, each of which is incorporated by reference and each of which may be updated by Lindenhaus. from time to time with due notice to you in accordance with the terms set out under the “Modification of Terms of Use” section below.
Terms of Service ("Terms") govern the partnership between Lindenhaus and Health Partners to provide health and wellness services to members.
Purpose of Partnership:
1.1 Lindenhaus and the Health Partner agree to collaborate to provide comprehensive health and wellness services to Lindenhaus members.
1.2 The Health Partner agrees to participate (at their convenience) in talks, workshops, and retreats organized by Lindenhaus to educate and support members in achieving optimal health and wellbeing.
1.3 The Health Partner may also access Lindenhaus properties, retreats and programs for their personal and professional use.
Services Provided:
2.1 The Health Partner shall provide health expertise, guidance, and support to Lindenhaus members.
2.2 Lindenhaus Companions | Advocates shall provide advocacy services to individuals referred by the Health partner.
2.3 The Health Partner shall deliver talks, workshops, and participate in retreats organized by Lindenhaus, as mutually agreed upon.
2.4 Lindenhaus will arrange a minimum of 4 paid speaking arrangement for the Partner on an annual basis.
Confidentiality:
3.1 Both parties agree to maintain strict confidentiality regarding any proprietary or confidential information shared during the course of this partnership.
3.2 Any information shared between Lindenhaus and the Health Partner shall be kept confidential and shall not be disclosed to any third party without prior written consent.
3.3 Should parties decided to collaborate on the health needs of a member, they both agree to be fully compliant with the latest HIPAA standards and sign a BAA (Business Associate Agreement) with each other.
Compensation:
4.1 The Health Partner shall be compensated for their services based on an agreed upon compensation schedule prior to services being rendered.
4.2 Lindenhaus shall reimburse the Health Partner for reasonable expenses incurred in connection with the provision of services under this partnership.
Term and Termination:
5.1 This partnership shall commence upon accepting the terms of this agreement and completing an orientation and shall continue until terminated by either party upon written notice.
5.2 If, after twelve (12) months, either party decides not to continue the partnership, they may cancel within 7 days via email or written notice. In which case partner will be entitled to a refund less any payments received during the first 12 months. Otherwise, if both parties agree to continue, the partnership will automatically renew on a year to year basis.
Governing Law:
6.1 This partnership shall be governed by and construed in accordance with the laws of New York.
Entire Agreement: The undersigned agrees to the terms of this Agreement, all of which are expressed herein. There are no promises or representations except as set forth herein.
By accepting these Terms, the parties acknowledge and agree to abide by the terms and conditions set forth herein.
